1. Our agreement
GPU Router is operated by GPUStrategy (“we,” “us,” or “our”). These Terms govern the GPU Router website, API, and related account services (the “Service”). By using the Service, you agree to these Terms and the Acceptable Use Policy. If you do not agree, do not use the Service. The Privacy Policy explains how we handle personal information; it is not a substitute for consent where consent is required.
You must be at least 18 and legally able to enter this agreement. If you use the Service for an organization, you confirm that you are authorized to bind it. You must comply with applicable laws, export controls, and sanctions. A separately signed agreement controls over these Terms where they conflict.
2. Accounts and access
We give you a limited, non-exclusive right to use the Service, including integrating the API into your own applications for personal or commercial use, while you comply with these Terms. Keep account information accurate, protect your login, API keys, and wallet credentials, and promptly report suspected unauthorized access. You are responsible for your authorized users and applications and for activity using your credentials, except to the extent caused by our failure to meet our obligations.
Do not resell account credentials, bypass access controls or rate limits, interfere with the Service, or use access obtained without authorization. Your customers must receive appropriate notices and comply with the applicable usage restrictions.
3. Models and generated content
The Service connects requests to third-party model-serving infrastructure. Availability, capabilities, route selection, and prices can change. Automated model selection and retries may involve more than one model or serving route, subject to the privacy requirements supported for that request. No particular model, price, response time, or uninterrupted availability is guaranteed unless agreed in writing.
You retain your rights in content you submit. You authorize us to process and transmit that content as needed to provide the requested features, secure the Service, and comply with law, as described in the Privacy Policy. We do not claim ownership of your inputs or generated outputs. Output rights remain subject to applicable law and model licenses; outputs may not be unique or eligible for intellectual-property protection.
You must have the rights and permissions needed for your inputs and intended use of outputs. Model-specific licenses and restrictions apply where applicable. Ask us about requirements for your intended use if they are unclear. Review outputs before relying on or publishing them: they can be inaccurate, incomplete, biased, or unsafe and are not professional advice.
4. Pricing, credits, and billing
You authorize charges for requests submitted through your account at the applicable rates and any fees disclosed before purchase or use. Catalog prices are estimates based on current offers. Final charges depend on actual metered usage, including applicable input, output, reasoning, cache, image, or other units. A request may reserve balance before its final charge is settled. A request that fails, stalls, is interrupted, or is stopped by you, and that is not automatically retried on another route, is charged what the serving provider billed for it plus the applicable fee. Review the pricing methodology and your usage records.
Purchased credits pay for Service usage. They are not a bank deposit, investment, or promise of a financial return. Promotional and earned credits are distinct from purchased credits and follow the conditions stated when offered. No credit expiration is imposed by these Terms unless disclosed when the credits are issued or required by law. These Terms do not change any separate, existing entitlement attached to earned credits.
Contact us with the transaction or request identifier if you believe a charge is incorrect or want to request a refund of unused purchased credits. We review billing errors and refund requests individually, subject to the purchase terms and applicable law. These Terms do not impose a shortened deadline for statutory refund rights. Consumed usage is generally not refundable solely because you dislike the output. Required consumer remedies remain available.
You are responsible for taxes and payment or network fees disclosed for your transaction, except taxes on our income. Do not send funds to an unsupported address or network. Reversing a payment may affect your available balance and access. Any optional recurring purchase requires a separate authorization; these Terms alone do not authorize automatic top-ups.
5. Our materials and shared content
We and our licensors retain rights in the Service software, branding, and materials. These Terms do not transfer those rights or restrict rights granted under a separate open-source license. You may give us feedback and permit us to use it to improve the Service without payment; do not include confidential material in unsolicited feedback.
If you publish or share a Fusion or other configuration, you authorize the Service to display and distribute what you choose to share. Other people may copy it. Do not include secrets, personal data, or content you lack permission to publish.
6. Suspension and termination
You may stop using the Service at any time and request account closure by contacting us. We may restrict or suspend access when reasonably necessary to address abuse, security risks, nonpayment, legal obligations, or material violations of these Terms. We will provide notice and an opportunity to resolve the issue where practicable and lawful.
If we permanently discontinue your paid access for reasons other than your material breach, you may request a refund of unused purchased credits, subject to law. Account closure does not erase valid outstanding charges or records we must retain. Provisions about accrued payments, ownership, liability, and disputes survive termination to the extent needed to give them effect.
7. Warranties and responsibility
To the extent permitted by law, the Service is provided “as is” and “as available,” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that outputs are correct or that the Service will be uninterrupted, secure, or error-free.
To the extent permitted by law, neither party is liable under these Terms for indirect or consequential loss, lost profits, or lost business opportunities. Our aggregate liability arising from the Service is limited to the greater of US$100 or the amount you paid us for the Service in the twelve months before the event giving rise to the claim. These limitations do not apply to fraud, willful misconduct, or any liability that cannot lawfully be limited, and do not eliminate mandatory consumer rights or required refunds.
If you use the Service on behalf of a business, that business will indemnify us against third-party claims arising from its unlawful content or material violation of these Terms, to the extent caused by that conduct. This does not cover our own breach or misconduct. We will notify you of the claim, allow reasonable control of its defense, and not agree to a settlement imposing obligations on you without your consent.
8. Changes, disputes, and contact
We may revise these Terms and show the revision date here. Material changes will be communicated through the Service or an account contact before they take effect, except where an immediate change is legally or operationally necessary. Changes apply prospectively. If you do not accept them, stop using the Service and contact us about your remaining balance.
Contact us first to try to resolve a concern. These Terms do not require arbitration, waive class proceedings, or select an exclusive court. Applicable law determines jurisdiction and any mandatory protections. If a provision is unenforceable, the remaining provisions continue to apply. A failure to enforce a provision is not a waiver. These Terms and incorporated usage rules form our agreement for the Service, subject to any separately signed agreement.
For account, billing, accessibility, intellectual-property, or legal questions, contact GPUStrategy at hi@gpustrategy.fun. For a content complaint, identify the material, the rights or policy involved, and how we can contact you. Do not send passwords, API keys, or wallet recovery phrases.
